By accessing any part(s) of the Site, you (“User,” “Member,” and/or “Customer”) agree that you have read and will follow Terms of Use (“Terms”) without modification. You must be 18 years of age, or the legal age of majority in your jurisdiction, with the legal authority, right, and freedom to enter into the binding agreement of these Terms. Please read these Terms carefully. If you do not agree with any part(s) of the Terms, do not proceed in using the Site.

You are granted a non-exclusive, non-transferable, revocable license to access and use mypurpledress.com strictly in accordance with these Terms. As a condition of your use of the Site, you warrant to My Purple Dress, LLC, that you will not use the Site for any purpose that is unlawful or prohibited by these Terms. You may not use the Site in any manner which could damage, disable, overburden, or impair the Site or interfere with any other party’s use and enjoyment of the Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Site.

All content included as part of the service—such as text, graphics, and logos—as well as the compilation thereof, and any software used on the Site, is the property of My Purple Dress, LLC, or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends, or other restrictions contained in any such content and will not make changes thereto.

mypurpledress.com (in whole or in part), the My Purple Dress name, the My Purple Dress logo, and related marks are trademarks of My Purple Dress, LLC (“My Purple Dress”). All materials (“Materials”) on the Site, including, but not limited to, images, GIFs, videos, designs, photographs, illustrations, icons, content, and file downloads, are protected by copyrights, trademarks, or trade dress owned by My Purple Dress. Reproduction, transmission, distribution, modification, posting, uploading, storing, or republication of the Site or any Materials of the site, in whole or in part, in any form or medium (i.e., electronic, mechanical, photocopying, recording, or otherwise) without express written permission of My Purple Dress is strictly prohibited. Copyright infringement is a violation of Federal Law.

You will not reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content found on the Site. My Purple Dress content is not for resale or commercial use. Your use of the Site does not entitle you to make any unauthorized use of any protected content, and in particular you will not delete or alter any proprietary rights, watermarks, or attribution notices in any content, including a copyright mark (©️) or trademark (™️). You will use protected content solely for your personal use and will make no other use of the content without the express written permission of My Purple Dress and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of My Purple Dress or our licensors except as expressly authorized by these Terms.

Single-User License Agreement

The Customer (the purchaser or person for whom this product is purchased) is granted a single-user license. Materials may be transmitted or accessed via digital device for one individual user only.

Sharing the digital files or distribution of any part of the publication in any way or by any means for additional users or commercial sale is strictly prohibited. To inquire about obtaining multiple-user licenses, please contact quote@mypurpledress.com for a quote.

My Purple Dress retains full intellectual property rights on all proprietary materials, including print editions and excerpts.

Site Materials

The Site as a whole, and the Materials of the Site, is solely intended for noncommercial (except for the purchase of merchandise from the Site), personal use. No rights or interests in any Materials are transferred to the user as a result of accessing any part(s) of the Site. Licensing details for merchandise are provided in product descriptions and commonly grant only a single-user license for personal use (see Single-User License Agreement).

Children’s Guidelines

My Purple Dress strives to provide a wide range of enriching content meant for Users of all ages. Some content is specifically intended for children or families. Select features and sections of the Site require member registration (see Members). When the participant is a child under the age of 18, a parent/guardian must create the account. Registration will require a parent/guardian e-mail for ongoing correspondence related to the child’s participation.

My Purple Dress commits to safeguarding the time children spend at our online venue. We also encourage the parent/guardian(s) of children under the age of 18 to supervise this interaction.

In accordance with the U.S. Children’s Online Privacy Protection Act (“COPPA”), we provide parental notice and/or seek parental consent whenever a child’s personal information is collected in the course of Site activities. For consumer advice about COPPA and children’s online safety, please visit the Federal Trade Commission.

Commercial Terms

When purchasing an item from the online store (“Emporium”), you agree that you have read the full product description. Completing the check-out process signifies that you commit to submitting full payment for selected item(s).

Prices for merchandise and subscription services are as listed. We reserve the right to change pricing or correct inadvertent errors at any time. We may discontinue products or alter or halt services (or features thereof) without prior notice.

Members

Users may register to become a member of mypurpledress.com (“Member” or “Member Account”). A membership affords the user to log in and use select features and sections of the Site. To place a merchandise order at the Emporium or subscribe to various paid plans, users must create a membership account. When registering, the user is responsible for providing valid, accurate, and complete personal information. We strongly suggest that you keep your password secure.

All activities conducted with a Member Account will be deemed to have occurred by or on behalf of the Member, the person or entity whose e-mail address is associated with the account. If a purchase is made, the Member Account owner is considered to be using authorized billing information. We reserve the right to temporarily or permanently suspend a Member Account if a dispute regarding account ownership arises. Reasonable efforts, such as requiring documentation, may be employed to determine ownership in such cases. Any attempt to falsely state or otherwise misrepresent a person or entity is a crime. In order for My Purple Dress to provide and improve quality central-purpose services, valid account information is requisite.

Any activities for children under the age of 18 that require registration are managed under a parent/guardian account.

Subscription Services

Some services or features may require a subscription fee. My Purple Dress reserves the right to change subscription fees at any time. We will notify existing subscribers via e-mail should the change affect their rate in upcoming terms.

Electronic Communications

Sending e-mails to My Purple Dress, whether a Member or not, constitutes electronic communications. As such, you consent to receive related electronic communications in return. Additionally, all agreements, notices, disclosures, and other exchanges provided electronically, via e-mail or on the Site, satisfy any legal requirement that such communications appear in writing. The Member consents to receive ongoing electronic communications, such as e-mails and newsletters, and may opt-out of promotional materials or notices not related to their account or possible subscriptions.

Colors

We make every effort to ensure that the colors in the product images that appear on the Site are as accurate as possible. However, because of variations in platform interfaces (monitors, tablets, phones, etc.), we are unable to guarantee an accurate display on your screen.

Inaccuracy Disclaimer

Although we make every effort to provide accurate content, some errors may occasionally occur. We reserve the right to correct any typographical errors, omissions, and other inaccuracies (including pricing errors) at any time without prior notice.

Certain services made available via My Purple Dress are delivered by third party sites and organizations. By using any product, service, or functionality originating from My Purple Dress domain, you hereby acknowledge and consent that My Purple Dress may share such information and data with any third party with whom it has a contractual relationship to provide the requested product, service, or functionality on behalf of My Purple Dress Users, Members, and Customers.

Disclaimers and Limitations on Liability

The Site, and all Materials it contains, are transmitted and distributed “AS IS” without warranties of any kind, either express or implied. No information or advice obtained from My Purple Dress shall create any warranty. Your use of the Site is at your sole risk. My Purple Dress is, under no circumstances, liable for any direct, indirect, incidental, special, or consequential damages that result from use of the Site. Applicable law may prohibit the limitation or exclusion of liability. In such cases, My Purple Dress total liability may not exceed the amount paid by you, if any, for accessing the Site. My Purple Dress and/or its suppliers may make improvements and/or changes in the Site at any time.

Indemnification

You agree to indemnify, defend, and hold harmless My Purple Dress, as well as its owner, agents, and third parties, for any losses, costs, liabilities, and expenses (including reasonable attorney’s fees) relating to or arising out of the following: 1) your use of or inability to use the Site or its services, 2) your violation of any terms of this agreement, or 3) your violation of any applicable laws, rules, or regulations. My Purple Dress reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with My Purple Dress in asserting any available defenses.

Termination/Access Restriction

My Purple Dress reserves the right, in its sole discretion, to terminate User or Member access to all or a portion of the Site, or the services thereof at any time, without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of Texas and you hereby consent to this exclusive jurisdiction and venue of courts in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and My Purple Dress as a result of this agreement or use of the Site. The performance of this agreement by My Purple Dress is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of a right to comply with governmental, court, and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by My Purple Dress with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law—including, but not limited to, the warranty disclaimers and liability limitations set forth above—then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

Unless otherwise specified herein, this agreement constitutes the entire agreement between the User and My Purple Dress with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between the User and My Purple Dress with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.

International Users

The Site and its services are controlled, operated, and administered by My Purple Dress from the United States of America (“USA”). If you access the Site or its services from a location outside of the USA, you are responsible for compliance with all local laws. You agree that you will not use My Purple Dress content accessed through the Site in any country or in any manner prohibited by any applicable laws, restrictions, or regulations.

“Terms of Use” Modifications

My Purple Dress reserves the right, in its sole discretion, to modify these Terms at any time without prior notice. By accessing any part(s) of the Site following such change, you agree to be bound by the Terms as modified. The most current version of the Terms will supersede all previous versions. My Purple Dress encourages you to periodically review the Terms to stay informed of our updates.

Entire Agreement

These Terms—together with our Privacy Policy and other legal and fee notices provided by My Purple Dress—act as the entire agreement between you and My Purple Dress concerning the subject matters wherein.
